1. Acceptance of Terms

By accessing or using the BabsPay platform ("Service"), operated by LAWADEY ENTERPRISE, you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, do not use our Service.

These terms apply to all visitors, users, resellers, agents, and API developers who access or use the Service.

2. Eligibility & Account Registration

• You must be at least 18 years old to register and use this Service.
• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials, password, and Transaction PIN.
• You agree to notify us immediately of any unauthorized use of your account at support@babspay.com.ng.
• One person may maintain only one account. Duplicate accounts are prohibited and may be suspended.

3. Wallet Funding & Payments

• All wallet funding is subject to a 1–1.5% processing fee. A ₦50 stamp duty applies to deposits above ₦2,500 as required by Nigerian law.
• Funds deposited into your BabsPay wallet are non-refundable except in cases of verifiable system errors.
• We reserve the right to hold, reverse, or investigate any funding that appears suspicious or fraudulent.
• Virtual account numbers are automatically generated for each user. Account numbers are unique and dedicated to your account.

4. VTU Transactions (Data, Airtime, Bills)

• All transactions are processed immediately. Once a purchase is initiated and wallet is debited, it cannot be reversed unless the transaction fails completely.
• For failed transactions where your wallet was debited, a refund will be processed automatically within 24 hours.
• Network providers may experience downtime. We utilize an auto-switching engine with 9+ providers to minimize service disruption.
• We are not responsible for losses caused by incorrect phone numbers, IUC numbers, or meter numbers entered by the user.
• Exam tokens (WAEC, NECO) are non-refundable once delivered.
• Electricity tokens are delivered based on meter number validation. Ensure your meter number is correct before purchase.

5. Prohibited Activities

You agree NOT to:

• Use the Service for money laundering, fraud, or any illegal financial activities.
• Attempt to hack, disrupt, or reverse-engineer our systems or APIs.
• Create multiple accounts to abuse referral bonuses or promotional offers.
• Sell or transfer your account, API keys, or credentials to third parties without our written consent.
• Use automated bots, scripts, or scrapers without our written API agreement.
• Resell services in violation of provider terms or at artificially inflated prices that damage market integrity.

Violations may result in immediate account suspension, fund forfeiture, and legal action.

6. API Access & Developer Terms

• API keys are personal and must not be shared publicly or embedded in client-side code.
• We reserve the right to revoke API access at any time for abuse or policy violations.
• API rate limits apply. Excessive requests may result in automatic throttling or suspension.
• Developers integrating our API into third-party platforms must display our branding and link to these Terms.

7. Security & KYC

• KYC (Know Your Customer) verification may be required to unlock higher transaction limits or certain features.
• We employ bank-grade security including CSRF protection, OTP verification, IP blacklisting, and brute-force lockout.
• Users who are blacklisted (by phone, email, or IP) will have their accounts suspended without prior notice.
• You agree to keep your Transaction PIN confidential. We will never ask for your PIN via email, phone, or WhatsApp.

8. Referrals, Points & Rewards

• Referral bonuses are credited after a referred user makes their first successful funded transaction.
• Points are earned based on transaction volume and cannot be exchanged for cash — only redeemed for service credits.
• We reserve the right to modify, suspend, or terminate the referral/points program at any time with 7 days notice.
• Fraudulent referral activity will result in account termination and forfeiture of all bonuses.

9. Limitation of Liability

To the maximum extent permitted by Nigerian law, LAWADEY ENTERPRISE shall not be liable for:

• Losses arising from network provider failures or delays beyond our control.
• Unauthorized access to your account due to your own negligence.
• Indirect, incidental, or consequential damages resulting from use of the Service.
• Losses due to incorrect information provided during transactions.

Our maximum liability in any event is limited to the amount of the disputed transaction.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through the courts of Nigeria.

11. Marketplace & E-Commerce Store

In addition to VTU services, BabsPay operates an online marketplace allowing verified third-party merchants to list products, services, vehicles, and properties. By using the marketplace, you agree to the following:

• For Buyers: All purchases made on the marketplace are processed via secure wallet/card payments. Delivery is handled by the respective merchant based on their stated delivery timelines. BabsPay acts as an escrow agent, holding funds until order fulfillment is completed or the escrow period expires.
• For Merchants: You must complete business verification (NIN/BVN, CAC registration, and bank confirmation) to list products. You are strictly responsible for the accuracy of your product descriptions, pricing, inventory, and fulfillment. Selling illegal, counterfeit, or prohibited items is strictly forbidden.
• Moderation: BabsPay reserves the absolute right to moderate, reject, or disable any store or product listing that violates our standards, receives excessive complaints, or engages in fraudulent activity.
• Payouts: Merchant payouts are processed after successful delivery validation, subject to standard marketplace commission rates and administrative withdrawal fees.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance. We will notify registered users of significant changes via email or WhatsApp.
